Translazor — Terms of Service & End-User License Agreement (EU/Lithuania)

Plain-English summary (not a substitute for the full terms): You buy a license for a Blazor translation component (“Translazor”). Subscriptions auto-renew until canceled. For EU consumers, if you ask us to deliver the license key immediately, you agree to lose the 14-day right of withdrawal once delivery starts. Business buyers may provide a valid EU VAT ID for reverse-charge. Do not share or misuse license keys. We provide the software “as is” with support/updates per your plan. Lithuanian law applies, with Vilnius courts (without affecting mandatory consumer rights).

These Terms of Service & EULA (“Terms”) govern your purchase and use of the Translazor software product and related services. By purchasing, installing, or using Translazor, you accept these Terms.

2) What you are buying

Product: “Translazor” is a Blazor component/library that enables translation/internationalization features.

Delivery: After successful payment, your license key and download/access instructions are delivered by email and/or Customer Portal. Delivery is electronic only.

Third-party services: Translazor may integrate with third-party providers (e.g., Azure Translator, DeepL, Google, Redis). You are responsible for those accounts, fees, and compliance with their terms.

3) License grant (scope of use)

  • Non-exclusive, non-transferable, revocable license per the plan you purchase (Free/Pro/Team; subscription vs. one-time).
  • Domain binding: One production domain per license unless stated otherwise. Reasonable dev/staging domains permitted for that production domain. If your plan allows multiple domains/seats/tenants, limits are shown at checkout and on your receipt.
  • Permitted users: Your employees/contractors may use the Product for your projects, provided they follow these Terms.
  • Source/binaries: Unless explicitly stated, the license covers use of compiled binaries and public APIs only.

You acknowledge we may implement license verification (e.g., key/domain validation) and agree not to interfere with it.

4) Prohibited uses

  • Sharing, reselling, renting, sublicensing, or publicly posting license keys.
  • Reverse engineering, decompiling, or circumventing technical restrictions (except where permitted by mandatory law).
  • Building a competing product or copying substantial features/look-and-feel.
  • Misrepresenting licensed domains, exceeding limits, or removing proprietary notices.

5) Plans, pricing, and taxes

  • Prices & plans appear on the website and/or Stripe Checkout; changes apply prospectively.
  • Stripe & Stripe Tax: Stripe processes payments and determines taxes.
  • EU VAT: Valid EU VAT ID may enable reverse-charge; otherwise VAT is charged based on your location.
  • Invoices/receipts emailed by Stripe and available in Customer Portal.

6) Subscriptions, renewals, cancellations

  • Subscriptions auto-renew until you cancel (see renewal date/amount in Stripe/Portal).
  • Cancel any time before the next renewal to avoid future charges.
  • On cancellation, license remains valid until end of paid period; then key may be suspended/expired.
  • Unpaid invoices may result in suspension of license and updates/support.

7) One-time (perpetual) licenses

A one-time license is perpetual for the purchased version. Access to updates/support may be time-limited (e.g., 12 months) unless otherwise stated. Major upgrades may require a new license.

8) Right of withdrawal (EU consumers)

Digital content supplied immediately. If you are an EU consumer and choose immediate delivery of your license key or access, you expressly consent to immediate performance and acknowledge that you lose the statutory 14-day right of withdrawal once delivery begins.

If you do not want immediate delivery, delay activation and contact support before using the key. This does not affect other mandatory consumer rights.

9) Refunds

Unless required by mandatory law or explicitly stated in your plan/offer, fees are non-refundable once the license key or access is delivered/activated. If we materially fail to deliver what you paid for and cannot remedy promptly, contact support; we may offer a remedy or a discretionary refund.

10) Support and updates

Support/update entitlements depend on your plan (e.g., email support, priority support, update window). We may provide fixes/patches/new versions at our discretion and do not guarantee parity with third-party services.

11) Service levels & availability

Translazor is software you run in your environment. We do not guarantee uptime/availability of third-party services (e.g., translation providers, Redis, hosting). We are not responsible for outages or rate limits imposed by third parties.

12) Privacy & data protection (GDPR)

  • We process billing/account data (name, email, address, VAT ID) to fulfill the contract (payments, invoices, license delivery, support).
  • Stripe acts as our payment processor and may act as a processor/controller for payment data under its own terms and privacy notice.
  • See our Privacy Policy for details (lawful bases, retention, data subject rights).
  • If minimal telemetry is used for license verification (e.g., key hash, domain), it will be described in the Privacy Policy.

13) Intellectual property

Translazor is protected by copyright and other IP laws. We retain all rights, title, and interest in and to the Product, documentation, and branding, except for the limited license granted herein.

14) Warranties and disclaimers

Translazor is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied (including merchantability, fitness for a particular purpose, and non-infringement). We do not warrant error-free or uninterrupted operation, or availability/accuracy of third-party services. Machine translations/provider outputs may contain errors.

15) Limitation of liability

  • No liability for indirect, incidental, special, punitive, or consequential damages, or loss of profits/data/goodwill/business interruption.
  • Aggregate liability is limited to amounts paid for the Product in the 12 months preceding the event giving rise to liability.
  • Nothing limits liability for death/personal injury caused by negligence, fraud, or other liability that cannot be excluded under mandatory law.

16) Term and termination

These Terms apply from purchase/use and continue while you hold a valid license/subscription. We may terminate/suspend your license for material breach (e.g., key sharing, misuse) after notice where reasonable. On termination/expiry, you must cease all use, delete copies, and we may disable keys.

17) Export control and sanctions

You represent that you are not subject to EU/US/UK sanctions and will not use the Product in violation of export control or sanctions laws.

18) Changes to the Product or Terms

We may update the Product and these Terms. Material changes will be posted on the website and/or notified by email/Portal. Continued use after the effective date constitutes acceptance. If you are a subscriber and a change materially harms you, you may cancel before the next renewal.

19) Governing law and jurisdiction

These Terms are governed by the laws of Lithuania, excluding conflict-of-laws rules. The courts of Vilnius, Lithuania have exclusive jurisdiction, without prejudice to mandatory consumer rights that may allow consumers to bring claims in their country of residence.

20) Miscellaneous

  • Entire agreement: These Terms (and referenced documents, e.g., Privacy Policy, plan description) form the entire agreement.
  • Order of precedence: (1) your plan/checkout summary, (2) these Terms, (3) documentation.
  • Assignment: You may not assign/transfer your license without our prior written consent.
  • Notices: We may contact you via the billing/tech emails you provide.
  • Severability: If a clause is invalid, the remainder stays effective. No waiver for failure to enforce.

Annex A — Checkout disclosures (show near Pay button)

  • Product: Translazor (Blazor translation component)
  • Delivery: Electronic; license key by email/Portal immediately after payment.
  • Billing: Stripe handles billing. Taxes (incl. EU VAT) calculated automatically; valid EU VAT ID may apply reverse charge.
  • Renewals (if subscription): Auto-renews until canceled. Cancel anytime via Customer Portal before next renewal.
  • Right of withdrawal (EU consumers): By opting for immediate delivery, you consent to immediate performance and acknowledge losing the 14-day withdrawal right once delivery starts.
  • Refunds: Non-refundable after delivery except where required by mandatory law or explicitly stated in your plan.
  • License scope: Per plan; domain-bound; dev/staging allowances as described.
  • Support & updates: As per plan. Terms & Privacy: links must be available and accepted before payment.
